Terms and Conditions


This is a legal document which constitutes an agreement between the Licensee ["You / Your"] and the Licensor, iikon Limited (registered in England and Wales with number GB06587288 and whose registered address is 27 Hamilton Close, Banbury, Oxfordshire OX16 3ND) ["We / Us / Our"].

Carefully read all the terms and conditions of this Agreement prior to installing Movie Draft ["The Software"]. Installing The Software indicates Your acceptance of these terms and conditions. This document constitutes the complete Agreement between You and Us and cannot be changed or modified except by a written agreement between You and Us signed by an officer of iikon Limited.


1. Licence

We hereby grant You a period deemed by Your own discretion to evaluate The Software in its state of demonstration ["Demo Mode"]. After this period You may either uninstall The Software from Your computer or purchase the full, non Demo Mode version of The Software. Your right to use The Software terminates immediately upon the violation of any provision of this Agreement. You may install The Software onto more than one computer up to the maximum available installation keys purchased. You may not electronically transfer The Software from one computer to another over any network, including but not limited to the Internet and local area networks. You may not make modifications of any kind, either to The Software itself or to the environment in which it operates. You may not rent, lease or distribute copies of The Software or related documentation or key codes to others. You may not modify, translate, disassemble, de-compile, create derivative works from or reverse engineer in any way The Software or related documentation without prior written permission from Us. You may not use, copy, modify, or transfer The Software or documentation or key codes in any state except as expressly provided in this Agreement. In addition, the following applies depending upon the type of Licence purchased:

  1. Personal & Educational Licence - The Software may be used on only one computer at a time and by You only.
  2. Site Licence (Educational Establishment) - The Software may be used on more than one computer at a time providing that:
    1. The Software is used by Your current and attending pupils, and
    2. The Software is installed on computers that Your educational establishment own.
  3. Site Licence (Company or Government Agency Purchase) - The Software may be used on more than one computer at a time providing that:
    1. The Software is used by Your company or government agency employees, and
    2. The Software is installed on computers that Your company or Your government agency own.

2. Payment

The Licence fee payable is as set out on Our website and is non refundable. Where applicable, You are responsible for the payment of any taxes which may be payable and are in addition to the cost of the Licence.

3. Version And Updates

Upon purchasing a full non Demo Mode version of The Software, We grant You the use of the Licence for the current Major version of The Software only. You agree that we may make Minor updates to The Software available on Our website from time to time which You may upgrade to at your discretion, however nothing in this Agreement constitutes a suggestion, promise or guarantee that any future updates, be they Major or Minor will be made available in any way.

4. Support

You are solely responsible for checking that your computer's operating system and any software that you use on that operating system will not affect the functionality of The Software. You are also solely responsible for checking that your computer meets the minimum system requirements for The Software as set out on The Software's website.

While We and Our staff will always do Our best to assist, nothing in this Agreement constitutes a promise of support.

5. Installation, Backup And Transfer

You may make one copy of The Software for backup purposes. You must reproduce and include the copyright notices on the backup copy. You may not transfer the Licence to use The Software, including Your key code to another party.

6. Copyright

The Software and related documentation are copyrighted. You may not copy The Software or its documentation except for backup purposes solely as expressly permitted in this Agreement and to install The Software onto the computer as part of executing The Software. All other copies of The Software, including software that has been modified, merged, or included with other software, and of its documentation or key codes are in violation of this Agreement.

7. Limited Warranty And Disclaimer

The Software is provided as is, without warranty of any kind. You assume the entire risk as to the results and performance of The Software. We make no representation or warranties with respect to the contents hereof and specifically disclaim any implied warranties of non-infringement, merchantability or fitness for any particular purpose. Further, We do not warrant, guarantee, or make any representations regarding the correctness, accuracy, reliability, compatibility or uninterrupted operation of The Software, or otherwise; and You rely on The Software and its results solely at Your own risk. We expressly disclaim the uniform commercial code and the United Nations convention on contracts for the international sale of goods.

We, Our officers and employees, and its distributors, dealers and retailers shall not be liable for any indirect, special, incidental or consequential damages or loss (including damages for loss of business, loss of profits, interruption of service, or the like), whether based on breach of contract, tort (including negligence), product liability or otherwise, even if We or Our representatives have been advised of the possibility of such damages. In any event, Our liability to You shall be limited to a refund of the price You paid for The Software. The foregoing states You solely and exclusively remedy against Us, the limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the bargain between Us and You. You agree and acknowledge that We would not be able to provide The Software on an economic basis without such limitations.

8. Government Restricted Rights

The Software and any accompanying documentation and materials are provided with Restricted Rights. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraphs (a) through (d) of the Commercial Computer Software - restricted Rights clause at FAR 52.227-19, (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, and in similar clauses in the NASA FAR Supplement, as applicable. Contractor/manufacturer is iikon Limited.

This agreement shall be construed in accordance with and governed by English law and subject to the non-exclusive jurisdiction of the English courts.
